A "prospectus" is a formal disclosure document used to sell securities, describing the issuer of the securities, the propose business, and the risk factors. In the United States, prospectuses are filed and cleared with the SEC. Prospectuses are used, for example, by corporations selling their stock and by mutual funds selling their securities.
