   Agreement for Professional Services

An "Agreement for Professional Services" is a contract between two or more parties where the one party provides professional services to the other party. Professional services run the gamut from technology services, management consulting, marketing advice and financial services. The key issues for drafting Professional Services Agreements include:

    • The exact services to be rendered
    • The compensation and payment schedule
    • Timing as to when services are to be rendered.
    • Level of performance expected
    • Representations and warranties
    • Termination provisions
    • Dispute resolution mechanism
    • Any limitations on liability of the party rendering the services
